These Terms of Use (“Terms”) govern your relationship with Atria Senior Living Inc., our subsidiaries, and our affiliates, which include Holiday by Atria and Coterie Luxury Senior Living, (“Atria,” “us,” “we,” or “our”) when you use our websites, including atriaseniorliving.com, holidayseniorliving.com, coterieseniorliving.com, atriacares.com, atriahomecare.com, and atriacareers.com (each a “Site”).

PLEASE CAREFULLY READ THESE TERMS PRIOR TO USING THIS SITE. THESE TERMS AFFECT YOUR LEGAL RIGHTS, INCLUDING A CLASS ACTION WAIVER PROVISION THAT REQUIRES THE PARTIES TO RESOLVE ALL DISPUTES ON AN INDIVIDUAL BASIS AND LIMITS THE REMEDIES AVAILABLE TO YOU IN THE EVENT OF CERTAIN DISPUTES RELATING TO THE OPERATION OR USE OF THIS SITE (SEE DISPUTE RESOLUTION SECTION BELOW).

1. APPLICABILITY & ACCEPTANCE OF TERMS

By accessing, browsing, or otherwise using this Site, you expressly agree to these Terms without limitation or qualification. If you do not agree to these Terms, then you may not use this Site.

Atria reserves the right to change these Terms at any time without prior notice to you. Any modifications to these Terms will be effective immediately upon posting on this page and apply to all access to and use of the Site thereafter. Any changes to these Terms will be effective upon our posting of the notice, provided that these changes will be prospective only and not retroactive. In certain cases, we may also provide a summary of changes to these Terms. You agree that each visit you make to this page shall be subject to the then-current Terms. Your continued use of the Site following the posting of revised Terms means that you accept and agree to the changes. ACCORDINGLY, EACH TIME YOU USE THE SITE, YOU ARE ENTERING INTO A NEW AGREEMENT WITH US ON THE THEN APPLICABLE TERMS AND YOU AGREE THAT YOUR USE OF THE SITE AFTER SUCH NEW TERMS HAVE BEEN POSTED CONSTITUTES YOUR AGREEMENT TO THE NEW TERMS FOR YOUR NEW USE AND TRANSACTIONS ON THE SITE. You are expected to check this page each time you access the Site so you are aware of any changes, as they are binding on you. Please check this page periodically to ensure you are aware of any updates or changes.



2. ADDITIONAL TERMS

Certain parts or features of the Site may be subject to additional terms and conditions that are not expressly stated in these Terms, such as areas of the Site where payments are collected from you (collectively, “Additional Terms”). You agree to comply with such Additional Terms that apply to your use of the applicable parts or features of the Site. In case any conflict exists between these Terms and Additional Terms, the Additional Terms will control.

You may have entered into one or more pre-existing written agreements related to your purchase of services from Atria (“Agreements”). TO THE EXTENT THAT YOU HAVE ENTERED INTO ONE OR MORE AGREEMENTS, YOU AGREE TO ABIDE BY SUCH AGREEMENTS WITH RESPECT TO THE PURCHASE OF SERVICES FROM ATRIA, EVEN IF SUCH SERVICES ARE REFERENCED OR ADVERTISED ON THE SITE. IN THE EVENT OF A CONFLICT BETWEEN ANY AGREEMENT AND THESE TERMS THE AGEEMENT(S) SHALL GOVERN AND CONTROL.



3. ELIGIBILITY TO USE THE SITES

You represent and warrant to Atria that you are at least eighteen (18) years of age and that you possess the legal right and ability to enter into this Agreement, including without limitation that you have the authority to contractually bind the organization that you represent.

The Site is only intended for the personal use of individuals residing in the United States. The Site is not intended for business sales or business use. Although the Site may be accessed globally, the Site has been designed to comply with the laws of the United States. If any material on the Site, or your use of the Site, is contrary to the laws of the country where you are when you access it, the Site is not intended for you, and you should not access or use the Site. You are responsible for informing yourself of the laws of your jurisdiction and complying with them.



4. PRIVACY POLICY

Our Privacy Policy is incorporated into and made part of these Terms. You agree that personal information you provide through the Site shall be governed by our Privacy Policy.



5. INTELLECTUAL PROPERTY AND LIMITED LICENSE

This Site, including all Material contained in this Site, is protected by copyright unless specifically indicated otherwise. The protected Materials include but are not limited to text, graphics, photographs, videos, logos, buttons, icons, images, interfaces, code, and materials, the look and feel, selection and arrangement, design and organization of this Site, and the compilation of the content, code, data and materials on this Site, including all intellectual property and proprietary rights (collectively, “Materials”).

ATRIA® is a registered trademark of Atria, in the United States of America. The mark ATRIA and other word marks, slogans, logos, and trade names of Atria may be used on this Site (collectively the "Trademarks").

All Materials, including Atria's Trademarks, may not be used without Atria's express written permission. Furthermore, such trademarks may not be used in any manner that is likely to cause confusion among consumers or in any manner that disparages or discredits Atria. All other trademarks not owned by Atria or its affiliates that appear on this Site are the property of their respective owners, who may or may not be affiliated with, connected to, or sponsored by Atria or its affiliates.

Subject to these Terms, Atria grants you limited, revocable, non-transferrable, and non-exclusive permission to access and use this Site only to display the Site on your internet browser and to print or copy portions of this Site solely for your personal, non-commercial use, provided that you retain all copyright and other ownership notices contained on the Materials. You may not, however, distribute, modify, transmit, reuse, report, or develop derivative works from the Materials, or otherwise use the Materials for public or commercial purposes. This includes the use of any text, images, audio, and/or video without express written permission of Atria. The images of people or places displayed on this Site are either owned by Atria or are used with permission. The use of these images is prohibited unless specifically permitted by these Terms or specific permission provided elsewhere. Any unauthorized use of these images may violate copyright laws, trademark laws, the laws of privacy and publicity, and/or communications regulations and statutes.



6. ACCEPTABLE USE

You agree not to use this Site for any purpose that is unlawful or prohibited by these Terms. Atria reserves the right to deny access to any part of this Site at our sole discretion. Specifically, you agree that you will not:


  • Use this Site for any purpose in violation of local, state, national, or international laws;
  • Use this Site or Material for any political or commercial purpose;
  • Post or transmit any unlawful, threatening, libelous, defamatory, obscene, scandalous, inflammatory, pornographic, or profane Content or any Content that could constitute or encourage conduct that would be considered a criminal offense, give rise to civil liability, or otherwise violate any law;
  • Post inaccurate or misleading reviews that are not indicative of a personal experience and apply directly to the community upon whose page it is left by the reviewer;
  • Collect or store personal information about other users or stalk or harass another user;
  • Engage in any activity in connection with this Site or Material that is unlawful, harmful, offensive, obscene, violent, threatening, harassing, abusive, or otherwise objectionable to Atria;
  • Attempt to disable, hack, or otherwise interfere with the proper functioning of this Site;
  • Harvest, scrape, reverse engineer, create a derivative work, or modify any information from this Site or Material;
  • Infringe any intellectual property or other right of any third party;
  • Impersonate another person;
  • Remove, circumvent, disable, damage, or otherwise interfere with security-related measures or features of this Site, including any measures Atria may use to prevent or restrict access to this Site;
  • Transmit any software or other materials that contain any viruses, worms, trojan horses, defects, or other rogue programming or items of a destructive nature;
  • Use this Site or Material in a manner that suggests an unauthorized association with Atria or any other party, or is beyond the scope of the limited license granted to you;
  • Change or delete any proprietary notices from materials downloaded or printed out from this Site; or
  • Otherwise violate these Terms.

You further agree not to use any device, software, or routine to interfere or attempt to interfere with the proper working of this Site or any activity being conducted on this Site.



7. CONTENT

Content” means text, images, photos, audio, video, location data, and all other forms of data or communication. "Your Content" means content that you submit or transmit to, through, or in connection with the Site such as ratings, reviews, compliments, and information that you publicly display. You alone are responsible for Your Content, and once published, it cannot always be withdrawn. You assume all risks associated with Your Content including anyone's reliance on its quality, accuracy, or reliability or any disclosure by you of information in Your Content that makes you personally identifiable. You may not imply that Your Content is in any way sponsored or endorsed by Atria. You own Your Content. However, you hereby grant to Atria the perpetual, irrevocable, and royalty-free right and license to use Your Content in a number of different ways including publicly displaying it, reformatting it, incorporating it into advertisements and other works, creating derivative works from it, promoting it, and distributing it. By “use” we mean use, copy, publicly perform and display, reproduce, distribute, modify, translate, remove, analyze, commercialize, and prepare derivative works from Your Content. Moreover, Atria may alter or modify Your Content, or remove Your Content from the Site entirely, in its sole discretion and without requiring your permission or notice to you. However, Atria owns the Atria Content, including but not limited to visual interfaces, interactive features, graphics, design, compilation, including but not limited to our compilation of user Content and other Site Content, computer code, products, software, aggregate user review ratings, and all other elements and components of the Site excluding Your Content, user Content, and third-party Content. We have no obligation to retain or provide you with copies of Your Content, nor do we guarantee any confidentiality with respect to Your Content. It is a violation of our User Conduct guidelines to, for example, write a fake or defamatory review, trade reviews with other businesses, or compromise someone or be compensated to write a review. You also agree not to, and will not assist, encourage, or enable others to access, retrieve or index any portion of the Site for purposes of constructing or populating a searchable database of business reviews.



8. NOTICE OF AND PROCEDURE FOR COPYRIGHT INFRINGEMENT

Atria respects others’ intellectual and proprietary rights. In accordance with the Digital Millennium Copyright Act, Atria has designated a Copyright Agent to receive notice of claims of alleged copyright infringement on the Site. If you believe that your copyrighted material has been used or copied in a way that constitutes copyright infringement and such infringement is occurring on this Site, please send Atria's Designated Agent (identified below) a notice containing the following:


  1. An electronic or physical signature of the person authorized to act on behalf of the owner of the copyrighted work(s) that is/are alleged to have been infringed;
  2. A description of the copyrighted work(s) that you claim is/are infringing and the location where the original or an authorized copy of the copyrighted work(s) exists/exist (for example, the URL of website where the copyrighted work(s) is/are lawfully published; the name, edition, and page(s) of a book, etc.);
  3. A description of where the material that you claim is/are infringing is/are located on this Site, including the URL, so that Atria can locate the material;

You agree that (i) our generative artificial intelligence (“AI”) services, including our Atria AI Chatbot functionality (collectively “AI Services”), use experimental, unsupervised technology and may sometimes provide inaccurate or offensive Content that does not represent Atria’s views; (ii) information provided to our AI Services may be used to continuously train the AI Services; (iii) submission of confidential or proprietary information could be compromised if submitted to the AI Services and should not be submitted unless such use is expressly permitted; (iv) our AI Services may at times reproduce copyrighted material used as training data in response to an inquiry, and care should be taken in copying and further distributing Content created by any AI Services, such as ensuring that no copyright information appears on outputted work and ensuring no other obvious signs show that the outputted work belongs to a third party; (v) if you use the AI Services, you assume all responsibilities and obligations with respect to the results, any decisions or advice made or given, and any materials retrieved therefrom, including those to any third party, for the content, accuracy, and review of such results, and you should therefore use discretion before relying on, publishing, or otherwise using Content provided by the AI Services; (vi) you will not rely on the AI Services for medical, legal, financial, or other professional advice, and any Content regarding those topics is unintentional, provided for informational purposes only, and is not a substitute for advice from a qualified professional; and (vii) if you have questions regarding the AI Services or if you require further information you may contact us at privacy@atriaseniorliving.com with the subject line “AI Services Help.”



10. PAYMENT PROCESSING

Atria uses Aline, Inc., a third-party payment processor, to process payments on the Site. Please review the Aline Privacy Policy at alineops.com/privacy/ before making payments. Aline payment terms will be available for your review at, or prior to checkout.



11. AVAILABILITY OF SITE

Access to this Site may be interrupted from time to time for indefinite amounts of time and for any reason, and may not be error-free or bug free. The availability of this Site depends on many factors, including some factors that are beyond Atria's control, such as your connection to the internet. Atria shall not be liable to you if you cannot use this Site due to any reason beyond Atria's control.



12. ACCURACY OF WEB SITES INCLUDING FUTURE REVISIONS

While Atria uses reasonable efforts to include accurate, up-to-date information on this Site, Atria does not make any representations or warranties as to the Site's accuracy, reliability, completeness, or timeliness. Atria assumes no responsibility or liability for any errors or omissions in the content of this Site. Atria does not warrant or represent that your use of Materials on this Site will not infringe rights of third parties not owned by or affiliated with Atria, and you assume any such risk associated with your use of this Site.

DO NOT SEND ANY CONFIDENTIAL INFORMATION OR PATIENT HEALTH INFORMATION TO THIS SITE. Any communication or material that you transmit to this Site by electronic mail or otherwise, including any data, questions, comments, suggestions, or the like is and will be treated as non-confidential and non-proprietary. You agree that such information is non-confidential and non-proprietary. Anything that you transmit or post to this Site may be used by Atria or its affiliates for any purpose, including, but not limited to reproduction, disclosure, transmission, publication, broadcast, and posting. Furthermore, Atria is free to use any ideas, concepts, know-how, or techniques contained in any communication you send to this Site for any purpose whatsoever.



16. TERMINATION

In addition to any other legal or equitable remedies, Atria may, in our sole discretion, without prior notice to you, and for any reason, suspend or deny your access to and use of this Site, in whole or in part, and/or revoke any or all of your other rights granted under these Terms. Any termination of these Terms shall not affect the respective rights and obligations of the parties arising before the date of termination.



17. INDEMNITY

You agree to indemnify, defend, and hold harmless Atria, its subsidiaries and affiliates, agents, officers, directors, attorneys, employees, suppliers, and shareholders from any claim, demand, actions, costs, liabilities, losses of any kind (including reasonable attorneys' fees) made by anyone due to or arising from Your Content that you submit, post, transmit, or make available through this Site, your use of this Site, your connection to this Site, your violation of these Terms, or your violation of any rights of another.



18. DISPUTE RESOLUTION

Please read this section carefully, as it limits certain legal rights, including the right to participate in any form of class, collective, or representative claim, dispute, or action.

Class Action Waiver. You agree that, to the fullest extent permitted by applicable law, any and all disputes, claims, and causes of action arising out of or connected with this Site, these Terms, or our Privacy Policy will be resolved on an individual basis, without resort to any form of class action or mass action. This provision shall not be construed as a waiver of your right to seek public injunctive relief as provided under the law of the Commonwealth of Kentucky to the extent such right may otherwise be available to you.

Time Limitation. You must file any claim arising from the use of this Site within one year from the date on which the claim arises, and actions brought after this date will be deemed time-barred.



19. APPLICABLE LAW

The Site is created and controlled by Atria in the Commonwealth of Kentucky, USA. As such, the laws of the Commonwealth of Kentucky shall apply to these Terms without giving effect to any principles of conflicts of laws. You agree to submit to the personal jurisdiction of the state and federal courts located in the Commonwealth of Kentucky for any claim or dispute against Atria arising under these Terms. This provision shall survive termination for any reason.



20. GENERAL INFORMATION

Severability. If any provision of these Terms is found to be unenforceable or invalid for any reason, that provision shall be severable, and all other provisions shall remain in full force and effect.

Assignment. Atria may assign or transfer its rights and obligations in this Site, or under these Terms to any company or person at any time, without restriction, and without prior notice. You may not assign or transfer any rights or obligations to anyone without specific, prior, written consent by Atria.

Entire Agreement. This shall be the entire agreement, superseding all prior agreements between you and Atria regarding this Site. If any portion of these Terms of Use is found to be void, invalid, or otherwise unenforceable, then that portion shall be deemed to be superseded by a valid, enforceable provision that matches the intent of the original provision as closely as possible. In such event, the remainder of these Terms shall continue to be enforceable and valid according to terms contained herein.

No Waiver. The failure of Atria to exercise or enforce any right or provision of the Terms shall not constitute a waiver of said right or provision. Neither the receipt of any funds by Atria nor the reliance of any person on our actions shall be deemed to constitute a waiver of any part of these Terms. Only a specific, written waiver signed by an authorized representative of Atria shall have any legal effect.

Titles. The section titles in the Terms are for your convenience only and carry no contractual or legal effect whatsoever.
